There is no single minimum number of years a company must be incorporated before it can apply for SME financing.

What matters is the operating history and financial information available for the lender to assess.

A newly incorporated company with little or no trading history will generally need to build its operating track record before financing becomes realistic.

For many SME financing cases, around one year of operating history is a more practical point to start exploring financing. A business with around six months of trading history may be able to explore financing if its financials are particularly strong, but this does not guarantee that a lender will approve the application.

Why operating history matters

A lender needs to assess whether the business has the ability to service the proposed financing.

Operating history provides evidence of:

  • Revenue generated by the business
  • Consistency of business activity
  • Bank account conduct
  • Cash flow patterns
  • Existing financial commitments
  • The company’s ability to support the requested financing

A company may have been incorporated for several years, but if it has only recently started generating revenue, the lender may still view it as a relatively new business from a credit assessment perspective.

What counts as active business revenue?

The operating history should reflect genuine trading activity conducted by the company.

For example:

  • Customer payments from actual business activities
  • Regular revenue flowing through the company’s bank accounts
  • Transactions consistent with the company’s stated business activities

This is different from funds such as director injections, inter-company transfers or one-off capital injections, which do not demonstrate the same level of operating revenue.

The objective is to establish a genuine trading track record that a lender can assess.

What if my business is less than six months old?

If your company has been operating for less than six months, the practical approach is generally to build the business first.

There is usually not enough operating history for a lender to properly assess the company’s financial performance and repayment capacity.

Rather than applying prematurely, focus on building a consistent revenue track record, maintaining good bank account conduct and keeping the company’s financial documentation in order.

Once the business has built sufficient operating history, financing can then be explored based on the company’s actual financial position.

When should a new business start exploring financing?

As a general guide:

Less than 6 months:
Build the business and establish a proper trading track record first.

Around 6 months:
Financing may be worth exploring if the business has particularly strong financials and a clear revenue track record, but there is no guarantee of approval.

Around 1 year:
This is generally a more practical point to start exploring SME financing, as there is more operating history for lenders to assess.

The actual requirement still depends on the lender, financing facility, industry and overall financial position of the company.

Other requirements still apply

Operating history is only one part of the assessment.

Depending on the financing facility, lenders may also consider:

  • Company financial performance and revenue
  • Existing loans and liabilities
  • Bank account conduct
  • Credit profile
  • Industry and business activities
  • Ownership structure
  • Personal Guarantee requirements
  • Financing quantum requested

For eligible Enterprise Financing Scheme facilities, there are also specific scheme eligibility requirements, including applicable local shareholding and Singapore business requirements.

You can read more about the general criteria in our guide to SME loan requirements in Singapore.

Six months does not mean automatic approval

Having six months of revenue does not automatically qualify a company for financing.

It simply gives the lender some operating history to assess.

The lender will still consider the company’s overall financial position, repayment capacity, existing obligations and suitability for the particular financing facility.

Likewise, being in business for one year does not guarantee approval.

The key question is not simply “How old is the company?”

It is “How much operating history can the lender assess, and does the business meet the requirements of the relevant financing facility?”
